1. Acceptance of Terms

By accessing or using foxreply.ai (the "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service.

These Terms apply to all visitors, users, and others who access or use the Service. By creating an account or clicking "I agree", you confirm that you are at least 18 years old and have the legal authority to enter into this agreement.

2. Description of Service

foxreply.ai provides a platform that allows businesses ("Clients") to create, train, and deploy AI-powered chat widgets on their own websites. The Service includes:

• A dashboard for creating and managing organisations (bots)
• Tools for training the AI on your business knowledge
• Embeddable chat widget code for your website
• Analytics and conversation inbox features
• Subscription management

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with reasonable notice.

3. User Accounts

To use the Service you must register for an account. You are responsible for:

• Providing accurate and complete registration information
• Maintaining the security and confidentiality of your password
• All activity that occurs under your account
• Notifying us immediately of any unauthorised use at hello@foxreply.ai

We reserve the right to suspend or terminate accounts that violate these Terms or that have been inactive for more than 12 consecutive months.

4. Subscriptions and Payments

Billing

Paid plans are billed monthly or annually in advance. By subscribing you authorise us (through our payment processor, Paddle) to charge your payment method on a recurring basis. All prices are in USD unless stated otherwise.

Free Trial

The Starter plan includes a 15-day free trial for new users. No credit card is required to start the trial. Each account is eligible for one free trial. After the trial ends, access automatically reverts to the Free plan unless you subscribe.

Upgrades and Downgrades

You may upgrade or downgrade your plan at any time. Upgrades take effect immediately and a prorated charge applies. Downgrades take effect at the start of the next billing period.

Taxes

Prices may be subject to sales tax, VAT, or GST depending on your location. Paddle is our Merchant of Record and handles all applicable tax calculations and remittances.

5. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law or regulation
• Transmit spam, phishing messages, or unsolicited communications
• Upload or train the AI on unlawful, defamatory, or abusive content
• Infringe the intellectual property rights of any third party
• Attempt to reverse-engineer, decompile, or extract source code
• Scrape, crawl, or otherwise access the Service by automated means without permission
• Resell or sublicense the Service to third parties without our written consent
• Engage in any activity that imposes an unreasonable load on our infrastructure

We reserve the right to remove any content and suspend any account that we reasonably believe violates these guidelines, without prior notice.

6. Intellectual Property

Our IP

The Service, including its design, code, trademarks, and all associated content produced by foxreply.ai, is owned by us or our licensors and is protected by copyright and other intellectual property laws.

Your Content

You retain all ownership of the knowledge base text and other content you upload ("Your Content"). By uploading Your Content, you grant us a non-exclusive, worldwide, royalty-free licence to use, process, and store it solely to provide the Service to you.

We do not claim ownership of Your Content and will not share it with third parties except as required to operate the Service or as required by law.

7. Data and Privacy

Our collection and use of personal information is described in our Privacy Policy, which is incorporated into these Terms by reference. By using the Service you agree to our Privacy Policy.

8. Service Availability

We aim for 99.9% monthly uptime. However, the Service is provided "as is" and we do not guarantee uninterrupted, error-free operation. We may take the Service offline for scheduled maintenance, which we will announce in advance where possible.

9. Limitation of Liability

To the fullest extent permitted by law, foxreply.ai and its directors, employees, and partners shall not be liable for:

• Indirect, incidental, or consequential damages
• Loss of profits, revenue, data, or business opportunities
• Damages arising from your reliance on AI-generated responses
• Any damages exceeding the total fees you paid in the 3 months preceding the claim

AI-generated responses may occasionally be inaccurate. You are responsible for reviewing and validating any AI output before relying on it.

10. Termination

You may cancel your account at any time from the billing portal or by contacting us at hello@foxreply.ai. Upon cancellation, your paid plan remains active until the end of the current billing period.

We may terminate or suspend your account immediately, without prior notice, if you materially breach these Terms. Upon termination, your right to use the Service ceases and we may delete your data in accordance with our Privacy Policy.

11. Changes to Terms

We reserve the right to update these Terms at any time. When we do, we will post the updated Terms on this page and update the "Last updated" date above. We will notify you by email if changes are material. Continued use of the Service after changes take effect constitutes acceptance of the new Terms.

12. Governing Law

These Terms shall be governed by and construed in accordance with applicable law. Any disputes arising under these Terms shall be subject to the exclusive jurisdiction of the competent courts.
